FoodLyft Partner Terms (Vendors)

Effective date: 12 October 2026 Last updated: 12 October 2026

These Partner Terms are a legally binding agreement between FoodLyft ("FoodLyft", "we", "us"), and the business that lists on the Platform, together with each person who uses the FoodLyft Partner app for that business ("Vendor", "you").

By signing up, accepting an invitation, or using the FoodLyft Partner app, you agree to these Partner Terms, our Privacy Policy, and the rules that apply to customers in our Terms & Conditions and Refund & Cancellation Policy, which you must honour. If you accept on behalf of a business, you confirm that you are authorised to bind it. These terms are an electronic agreement under the Electronic Transactions Ordinance, 2002.

1. Relationship

1.1 FoodLyft provides a technology platform through which customers can find you and place orders with you. FoodLyft is not your employer, partner, agent or joint venturer, and is not the seller of your products.

1.2 You are the seller. Each order is a contract between you and the customer. You are solely responsible for the products you sell and for delivering them.

1.3 You are an independent business and must hold, and keep current, all registrations, licences and permits your business needs, including:

  • registration of your business (and SECP registration if it is a company);
  • the food business licence or registration required by the food authority in your province (such as the Punjab Food Authority, Sindh Food Authority, KP Food Safety & Halal Food Authority, Balochistan Food Authority or ICT food authority);
  • tax registrations (NTN, and STRN or provincial sales tax registration with FBR, PRA, SRB, KPRA or BRA, where applicable); and
  • any trade, municipal or other licence required for your premises.

1.4 You must give us copies of these documents and of the CNIC of the business owner or authorised signatory when we ask, and tell us immediately if any of them expires, is suspended or is cancelled.

2. Accounts and staff

2.1 You must give accurate information about your business and keep it up to date. Your address and map location are set during onboarding and can only be changed through FoodLyft.

2.2 You may invite staff (such as kitchen staff) to use the Partner app. You are responsible for everything your staff and Riders do on the Platform, for keeping their access secure, and for removing access when they leave.

3. Listings, menus and prices

3.1 You are solely responsible for the accuracy and legality of your listing, including names, descriptions, photos, prices, discounts, ingredients, allergens, dietary tags and halal claims. Only use dietary tags that are true.

3.2 You must not list anything that is illegal, unsafe, counterfeit or prohibited by law or by FoodLyft, including drugs, prescription medicines, alcohol, tobacco or nicotine products, weapons, live animals or wildlife, or any non-food item we do not allow.

3.3 Listings, logos, images and descriptions may be reviewed (including by automated tools) and may be rejected, held or removed if they breach these terms, the law, or our content standards.

3.4 You set your own prices, delivery fees, minimum orders, service fee and tax rate. You must charge the same or lower prices than you charge for the same items in your own premises or channels unless the listing clearly says otherwise. A "price before discount" must be a genuine price at which you have actually sold the item.

3.5 You grant FoodLyft a non-exclusive, worldwide, royalty-free licence, for as long as you are on the Platform and a reasonable period afterwards, to use your name, logo, trademarks, menu and images to list and promote you on the Platform and in FoodLyft marketing. You confirm you own or have permission to use all content you upload.

4. Orders

4.1 Accepting orders. While you are open, you must respond to each new order within the time the Platform allows (currently 2 minutes). If you do not respond, the order is accepted automatically with your default preparation time, and you must acknowledge it within the time shown (currently 5 minutes).

4.2 Rejecting orders. You may reject an order before accepting it, giving a true reason (item unavailable, too busy, closing, out of area or other). Once accepted, you must prepare the order. If you cannot complete an accepted order, report the problem in the app immediately.

4.3 Preparation. You must prepare orders within the preparation time you set (up to the maximum the Platform allows), and may extend it only as the app permits.

4.4 Food safety. You must prepare, store, handle and package all food hygienically and safely, in compliance with applicable food safety law, using tamper-evident or sealed packaging where practicable, and with any labelling the law requires.

4.5 Opening hours. Keep your hours and availability accurate. Close your store in the app if you cannot take orders.

4.6 Payment-first orders. You must not start preparing an order that requires payment first until payment is confirmed in the app.

5. Delivery and Riders

5.1 You are responsible for delivering your orders, using Riders that you engage. You must have at least one active Rider to open your store.

5.2 Riders are engaged by you, not by FoodLyft. You are solely responsible for:

  • recruiting, vetting and verifying every Rider (including their CNIC, a valid driving licence for the vehicle class, and roadworthy and registered vehicle);
  • all wages, fees, tips, benefits, social security, EOBI, workers' compensation, insurance and taxes relating to your Riders, and compliance with all applicable labour and employment laws;
  • your Riders' conduct, safety, compliance with traffic laws, and any accident, injury, loss or damage they cause or suffer; and
  • ensuring each Rider accepts the FoodLyft Rider Terms before using the Rider app.

5.3 Tips that customers add to an order are included in the amount paid to you. You must pass tips in full to the Rider who delivered the order.

5.4 Cash collected by Riders for cash-on-delivery orders is collected on your behalf. Settling that cash between you and your Riders is your responsibility.

6. Payments, fees and taxes

6.1 Customers pay you directly, by cash on delivery or by transfer to the payment accounts you publish in the app. FoodLyft does not collect, hold or remit customer payments for these methods.

6.2 You must ensure that every payment account you publish is in the name of your business or its owner, is accurate and active, and that you are willing for customers to see it. You must confirm payments promptly and honestly in the app, and you must not mark an order as paid unless the money has actually arrived.

6.3 Platform fee. FoodLyft may charge a platform fee, as a percentage of the pre-tax subtotal or in another form shown to you in the app or in a separate written agreement. The current rate is shown in your Billing settings. We will give you at least 30 days' notice of any new fee or increase. If you do not agree, you may stop using the Platform before the change takes effect. Fees are payable within the time stated on the invoice, and you are responsible for any taxes on them.

6.4 Taxes. You are solely responsible for setting the correct tax rate, charging and collecting tax, issuing invoices or receipts to customers where the law requires, filing returns and paying all taxes on your sales (including income tax and federal or provincial sales tax). FoodLyft is not responsible for your tax obligations.

6.5 Promotions. Discounts you offer (including "price before discount", free delivery thresholds and your own promo codes) are funded by you. Promotions funded by FoodLyft will be explained to you when offered.

7. Complaints and refunds

7.1 You must honour the Refund & Cancellation Policy.

7.2 When a customer complains about one of your orders, you have 48 hours to accept or contest it in the app, with evidence. If you do not respond, the complaint is treated as accepted. If you contest it, FoodLyft support decides the outcome, and you agree to be bound by that decision for the purposes of the Platform.

7.3 Where a refund is due from you (including for orders you cancel after receiving a transfer, orders that fail through your or your Rider's fault, and upheld complaints), you must refund the customer directly within 48 hours and upload proof in the app. For cash-on-delivery orders you must refund the customer by a method they agree to.

7.4 Late or unpaid refunds lead to a strike, a public "refund pending" notice on your listing and possible suspension, and FoodLyft may give the customer your business details so the customer can pursue you directly.

8. Customer data

8.1 You may receive customers' names, email addresses, delivery addresses, map pins, notes and order details. You may use this data only to prepare and deliver the order and to handle complaints and refunds for that order.

8.2 You must not use customer data for marketing, sell or share it, contact customers for any other purpose, or keep it longer than needed, and you must keep it secure and confidential in compliance with applicable law, including the Prevention of Electronic Crimes Act, 2016. You must make your staff and Riders comply with this section.

8.3 You are independently responsible for any misuse of customer data by you, your staff or your Riders.

9. Standards, strikes and suspension

9.1 To protect customers, FoodLyft applies conduct rules that may result in strikes. Examples include rejecting a high share of orders, frequent late orders, upheld complaints, overdue refunds, and false or unsupported actions by you or your Riders. Current thresholds (which we may change by notice in the app) are:

  • 3 strikes in 30 days: lower ranking for 7 days;
  • 5 strikes in 30 days: hidden from customers for 3 days;
  • 8 strikes in 30 days: delisting;
  • fraud, or directing customers off the Platform: delisting.

New Vendors receive a grace period (currently 14 days).

9.2 Appeals. You may appeal any strike against you or your Riders once, within 7 days. Strikes continue to count while an appeal is pending.

9.3 FoodLyft may suspend, hide or remove your listing or account immediately if: you breach these terms or the law; a licence is suspended or expired; a food safety concern or serious complaint is raised; we suspect fraud; or we are required to by law or an authority. Where reasonable we will tell you the reason. Otherwise, either party may end this agreement on 15 days' written notice.

9.4 Non-circumvention. You must not encourage customers who found you through the Platform to order or pay outside the Platform for orders placed on it, or use the Platform to collect customers' contact details for that purpose.

10. Your promises to us

You represent and warrant that:

  • you have all rights, licences and permits needed to run your business and to sell your products;
  • your products are safe, lawful, correctly described and fit for human consumption;
  • you will comply with all applicable laws, including food safety, consumer protection, labour, tax and data protection laws; and
  • the information you give us is true and complete.

11. Indemnity

You will indemnify and hold harmless FoodLyft, its directors, employees and agents from and against all claims, losses, liabilities, fines, penalties, damages and costs (including reasonable legal fees) arising out of or relating to:

  • your products, including any illness, injury, allergic reaction or death;
  • your Riders, including their employment, conduct, accidents and any injury or damage they cause or suffer;
  • your breach of these terms or of any law (including tax, food safety and labour law);
  • your content, including any infringement of third-party rights; and
  • any refund or compensation you owe customers.

12. Disclaimers and limitation of liability

12.1 The Platform is provided "as is" and "as available". FoodLyft does not guarantee any volume of orders, uninterrupted availability, or error-free operation.

12.2 Nothing in these terms excludes liability for fraud or any liability that cannot lawfully be excluded.

12.3 Subject to 12.2, FoodLyft is not liable for any indirect or consequential loss, loss of profit, revenue, business or goodwill, and its total liability to you in any 12-month period is limited to the platform fees you paid to FoodLyft in that period or Rs 10,000, whichever is greater.

13. Confidentiality

Each party must keep confidential any non-public information received from the other about its business, fees, systems or customers, except as required by law.

14. General

14.1 Governing law and disputes. These terms are governed by the laws of Pakistan. The parties will first try to resolve any dispute amicably for 30 days. Unresolved disputes shall be finally resolved by a sole arbitrator under the Arbitration Act, 1940, seated in Lahore, in English. Subject to arbitration, the courts at Lahore have exclusive jurisdiction, and either party may seek urgent interim relief from a court.

14.2 Changes. We may update these terms by notice in the app or by email at least 15 days before the change takes effect (30 days for fees under section 6.3). Continued use after that date means acceptance.

14.3 Survival. Sections 5.2, 6.4, 7, 8, 11, 12, 13 and 14 survive termination. You remain liable for refunds, fees and obligations arising before termination.

14.4 Other terms. Assignment, severability, no waiver, entire agreement, force majeure, notices and language: as set out in section 20 and section 22 of our customer Terms & Conditions, which apply to you as if written here.
